Terms, Privacy & Pricing
The agreements that govern our work, how we handle your data, and how our pricing works. Written to be read, not to hide anything.
Scope
These Terms govern your use of the services, products, software, documentation, and websites provided by Bridges Industrial LLC ("Bridges Industrial," "we," "us"), a Texas limited liability company. By engaging us, purchasing from us, or using our websites or free resources, you agree to these Terms.
Bridges Industrial operates through divisions and product lines, including PragOptics, our hardware and software group. References to Bridges Industrial include its divisions unless stated otherwise.
These Terms are the baseline. Where a signed agreement, statement of work, purchase order, quotation, or product-specific agreement applies to particular work, that document controls to the extent it conflicts with these Terms.
Eligibility
You must be at least 18 years old and legally able to enter into contracts. Where you act for an organization, you represent that you are authorized to bind it.
Services
Bridges Industrial provides professional, technical, and engineered services, including without limitation:
- Consulting and advisory services in industrial automation, instrumentation, controls, and operations
- Field and on-site services, including calibration, configuration, troubleshooting, commissioning, startup, loop verification, and related hands-on technical work
- Control and function logic development, including PLC, DCS, motor, relay, interlock, sequence, and batch logic
- Custom hardware design, development, fabrication, and assembly
- Additive manufacturing and short-run production, including MSLA printing in photopolymer resin
- Technical training and instruction
- Custom data connections and software: logic written to connect instruments, systems, and data sources, delivered as an API in the client’s system or hosted with a front end, together with websites, web apps, dashboards, managed cloud services, and connected applications
- Subscription access to the PragOptics platform and related products
- Free public resources, reference tools, and educational material
This list describes the general nature of our work and is not exhaustive. We may add, modify, or discontinue services at any time. No service, capability, or deliverable is implied unless it is described in an accepted engagement document.
Engagements
Work is performed under a statement of work, quotation, proposal, purchase order, service agreement, or other written engagement document (each, an "Engagement Document"). The Engagement Document defines the scope, deliverables, schedule, location, pricing, and any terms specific to that work.
Estimates, budgetary figures, and schedules are good-faith projections based on the information available at the time. They are not fixed prices or guaranteed completion dates unless expressly stated as such in writing.
Changes
Changes to scope, site conditions, equipment, schedule, or requirements may affect price and timeline. Material changes are handled by written change order or a revised Engagement Document before the affected work proceeds, where practicable.
Subcontractors and partners
We may use qualified subcontractors, vendors, or partner firms to perform portions of an engagement. We remain responsible for work we have contracted to deliver, subject to these Terms.
Your Responsibilities
Our work depends on conditions and information you control. You agree to:
- Provide accurate, complete, and current information about systems, equipment, processes, drawings, configurations, and hazards
- Provide timely access to sites, systems, personnel, credentials, and equipment as reasonably required
- Obtain and maintain all permits, approvals, licenses, and regulatory authorizations applicable to your facility and operations
- Maintain a safe work environment and disclose known or suspected hazards in advance
- Maintain current backups of systems, configurations, programs, and data before work begins
- Designate an authorized representative empowered to make decisions and grant approvals
- Independently review, test, and approve any configuration, logic, or change before it is placed into production or relied upon in live operation
Delays, errors, damage, or additional cost arising from incomplete or inaccurate information, restricted access, unsafe conditions, or missing backups are your responsibility.
Field & On-Site Work
Where we perform hands-on work at your facility or a site you designate, the following applies in addition to the rest of these Terms.
Site control and conditions
The site remains under your control. You are responsible for site safety, facility conditions, environmental controls, security, and the condition and suitability of the equipment we are asked to work on. You will inform us of applicable site rules, safety programs, and permit-to-work requirements before work begins.
Safety practices and stop-work
We observe applicable safety practices, including energy isolation, lockout/tagout, and permit requirements, and will comply with reasonable site-specific safety programs you provide. We may stop, pause, or decline work at any time if conditions are unsafe, if required isolation or permits are not in place, or if proceeding would create unacceptable risk. A stop-work decision is not a breach of these Terms.
Existing systems and pre-existing conditions
Industrial equipment, wiring, instrumentation, and control systems may contain undocumented conditions, latent defects, prior modifications, deferred maintenance, or impending failures that are not reasonably discoverable in advance. We are not responsible for pre-existing conditions or for failures arising from them.
Production impact
Work on live or in-service systems carries inherent risk to process availability. You are responsible for scheduling work windows, for production and operational decisions, and for the consequences of taking systems in or out of service.
Advisory Services
Consulting, assessment, audit, review, recommendation, and other advisory deliverables are professional opinions based on the information available to us and the scope defined in the Engagement Document.
Advisory output is informational. You retain sole responsibility for evaluating our recommendations, for deciding whether and how to act on them, and for the results of those decisions. We do not assume operational, design-of-record, engineering-of-record, or management responsibility for your facility unless we have expressly agreed to do so in a signed writing.
We are not acting as your licensed professional engineer, safety authority, regulatory consultant, or legal or financial advisor unless expressly engaged and appropriately licensed to do so.
Deliverables & Acceptance
Deliverables are provided as described in the Engagement Document. Unless that document states otherwise, deliverables are furnished for the application you have described, and you are responsible for confirming their suitability for that application.
Verification and acceptance
You are responsible for reviewing, testing, and validating deliverables in your environment before production use. Where an acceptance process is defined in the Engagement Document, that process controls. Where none is defined, deliverables are deemed accepted upon use in production or thirty (30) days after delivery, whichever occurs first.
Documentation and records
Calibration records, as-found and as-left data, configuration records, and similar documentation reflect conditions observed at the time of the work. They are not a warranty of continued performance and do not substitute for your own quality, maintenance, or regulatory recordkeeping obligations.
Safety-Critical Systems
Some work touches systems where failure can cause injury, environmental release, equipment damage, or loss of life, including safety instrumented systems and functions, alarm and interlock systems, emergency shutdown systems, and protective controls.
Independent verification is required. You are responsible for the independent review, validation, functional testing, and approval of any safety-related design, logic, configuration, calibration, or change before it is relied upon for protection. You remain responsible for your process hazard analysis, safety requirement specification, safety lifecycle obligations, and regulatory compliance.
Nothing we deliver transfers to us ownership of, or accountability for, the safety of your process, facility, or personnel. Where a deliverable supports a safety function, its integrity must be verified within your own safety lifecycle.
Hardware & Parts
Custom hardware and produced parts
Custom devices, boards, enclosures, printed parts, and short-run production items are produced to the specifications and tolerances agreed in the Engagement Document. Unless expressly stated in writing, produced parts are not certified, listed, rated, or qualified to any particular standard, hazardous-area classification, safety rating, load, pressure, or temperature, carry no regulatory approval, and are not represented as suitable for life-safety or safety-critical applications.
Photopolymer resin and additive-manufactured parts have material characteristics, including dimensional variation, anisotropic strength, and sensitivity to heat, chemicals, and ultraviolet exposure, that differ from machined or molded parts. You are responsible for determining whether a produced part is suitable for its intended use and environment.
Published hardware designs
We publish designs, schematics, bills of materials, and enclosure files for certain products, including the Omni product line, so they may be built by others. Published designs are provided as is and without warranty of any kind.
What you may do with them. Published Omni design files are licensed Creative Commons Attribution‑NonCommercial‑ShareAlike 4.0 International (CC BY‑NC‑SA 4.0). You may study them, build them, and modify them, for yourself or for the organisation you work for, and you may share your modifications under the same licence with credit to Bridges Industrial. You may not manufacture them for sale, or distribute assembled units, whether or not you change the design.
These files are source‑available, not open source. Open‑source hardware licences permit commercial manufacture by anyone, and this licence deliberately does not, so we do not describe the Omni line as open hardware.
Building one for your own plant, or for the employer you work for, is permitted and is the reason the files are published. Building them to sell, or to supply as part of a product you sell, is not. If you want to manufacture under licence, ask; commercial terms exist and are granted case by case.
The licence covers the design files. It does not grant any right to the names Omni, OmniSource, OmniPulse, OmniBus, PragOptics, or Bridges Industrial, or to our logo. A unit you build from these files is not a Bridges Industrial product, may not be described or sold as one, and carries no warranty, certification, or approval of ours.
Firmware is not published. Omni firmware is proprietary, is not covered by the design licence, and is not distributed with the design files.
If you build, modify, assemble, source components for, or operate hardware from our published designs, you do so entirely at your own risk and are solely responsible for the result, including component selection, workmanship, electrical safety, regulatory compliance, and fitness for your application. We have no liability for self-built or third-party-built units. Warranty coverage, where offered, applies only to units we supply assembled.
Sale of assembled products
Terms governing the sale of assembled products, including any product warranty, return, and shipping terms, are those presented at the time of purchase.
Free Resources
We publish free tools, calculators, reference tables, documentation, and educational material, including the Field Pocket Guide and the Idea Lab.
Free resources are provided as is, without warranty of any kind, for reference and educational use only. They are working aids, not certified instruments, engineering deliverables, or a substitute for your facility's procedures, qualified reference standards, or professional judgment. Always confirm results against your own procedure and a calibrated reference before relying on them.
We make no representation that free resources are accurate, complete, current, or fit for any purpose, and we accept no liability arising from their use.
Break-In submissions and free responses
We accept questions at no charge through our Break-In intake form and by email, and we answer them where we are able to. Any response we give at no charge is general information, not an engineering deliverable, certification, or professional opinion directed at your specific installation. We answer from what you describe to us. We have not inspected your equipment, verified your data, or assessed the conditions around it.
Submitting a Break-In does not create a consulting engagement, a contract, a retainer, or any professional or fiduciary relationship, and it does not obligate either of us to proceed further. A free response is offered without warranty of any kind, and we accept no liability for any action taken or not taken on the basis of one. Anything affecting safety, environmental compliance, regulated systems, or protective functions must be reviewed and approved under your own procedures by qualified personnel before it is acted on.
Do not send confidential, proprietary, export‑controlled, or personally sensitive information through the intake form. No confidentiality obligation attaches to an unsolicited submission unless we have a signed agreement in place covering it. We use what you send to answer you and to operate the intake, we do not sell it, and you may ask us to delete it.
PragOptics Platform
Access to and use of the PragOptics platform, including subscriptions, API access, custom endpoints, hosted solutions, provisioning, and platform billing, is governed by the PragOptics Platform Agreement, which is presented and accepted separately.
Where the PragOptics Platform Agreement applies, it controls over these Terms with respect to platform access, platform roles and delegation, platform subscriptions, usage-based charges and overages, tenancy and provisioning, and platform availability.
Platform tiers, capabilities, limits, and pricing are defined at the point of purchase, renewal, or in an applicable pricing schedule. Descriptions of tiers or capabilities appearing in marketing or documentation are illustrative and non-binding.
Fees & Payment
Pricing is established per engagement. Rates, fees, minimums, and included scope are those stated in the applicable Engagement Document, quotation, order form, checkout, or pricing schedule in effect at the time of purchase or renewal.
Pricing figures appearing in marketing material, documentation, or general correspondence are informational and non-binding. The authoritative price is the one presented at the time of purchase, renewal, or acceptance.
Additional costs
Unless the Engagement Document states otherwise, quoted amounts exclude taxes, travel and per-diem, expedited freight, third-party licenses and subscriptions, permits, rental or specialty equipment, materials, and pass-through costs incurred on your behalf. Usage-based charges, where applicable, are billed as incurred.
Payment and suspension
Invoices are due as stated on the invoice or in the Engagement Document. We may suspend work, access, or delivery for non-payment. Amounts remain payable for work performed prior to suspension or termination.
Intellectual Property & Confidentiality
Our materials
We retain all rights in our pre-existing materials, methods, tooling, know-how, software, libraries, templates, reference designs, and platform technology, including improvements to them, except where a specific licence is granted, as it is for the published hardware designs above and for the reference material in the Field Pocket Guide. Nothing in an engagement transfers ownership of these materials.
Your materials
You retain ownership of your data, drawings, specifications, process information, and other materials you provide. You grant us the right to use them as reasonably necessary to perform the engagement.
Deliverables
Rights in engagement-specific deliverables are as stated in the Engagement Document, and are agreed per engagement. Arrangements range from a license to use through to full assignment of the deliverable to you, and are priced accordingly.
Where the Engagement Document is silent, the default applies: upon full payment you receive a non-exclusive, non-transferable license to use the deliverable for your internal business purposes, and we retain ownership of the underlying methods and components used to create it.
Where we agree to transfer or assign ownership of a deliverable, that transfer takes effect upon full payment and is limited to the deliverable itself. It does not convey our pre-existing materials, methods, tooling, libraries, reference designs, or platform technology, which remain ours and are licensed to you only to the extent needed to use the deliverable.
Confidentiality
Each party will protect the other's non-public information disclosed in connection with an engagement, use it only for that engagement, and not disclose it to third parties except to personnel, subcontractors, and advisors with a need to know who are bound by comparable obligations. This does not apply to information that is public, independently developed, rightfully received from another source, or required to be disclosed by law.
Insurance & Risk Allocation
Your insurance
You are responsible for maintaining insurance appropriate to your operations, facility, and equipment, including property, general liability, and business interruption coverage as applicable. Your coverage applies to your premises, your equipment, and your operations regardless of who is performing work there.
Coverage applicable to an engagement
Insurance requirements applicable to particular work, including any coverage types, limits, additional-insured status, certificates, or waivers of subrogation, are addressed in the Engagement Document for that work and agreed in writing before the affected work begins.
Nothing in these Terms constitutes a representation that any particular insurance coverage is carried, applicable, or available for a given engagement, except as expressly stated in a signed Engagement Document.
Allocation of risk
The pricing of our services reflects the allocation of risk set out in these Terms, including the disclaimers and limitations below. Where you require a different allocation of risk, contact us before work begins so that scope, terms, and pricing can be adjusted accordingly.
Warranties, Disclaimers & Liability
What we warrant
We warrant that services will be performed with the reasonable skill and care of a competent provider in our field, in good faith, and in accordance with the Engagement Document. This is our sole warranty as to services.
Disclaimer
Except as expressly stated in these Terms or a signed Engagement Document, all services, deliverables, hardware, software, published designs, documentation, and free resources are provided as is, and we disclaim all other warranties, express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranty arising from course of dealing or usage of trade.
We do not warrant uninterrupted or error-free operation, that defects will be corrected, or that any particular result, outcome, saving, uptime, yield, or performance level will be achieved.
Your remedy
Where services do not meet the warranty above and you notify us in writing within thirty (30) days of the work, our obligation, and your exclusive remedy, is to re-perform the affected services or, at our option, refund the fees paid for them.
Exclusion of indirect damages
To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost production, downtime, loss of use, loss of data, cost of substitute goods or services, or business interruption, however caused and under any theory of liability, even if advised of the possibility.
Limitation of liability
To the fullest extent permitted by law, our total aggregate liability arising out of or relating to these Terms, an engagement, or any service, deliverable, or product, whether in contract, tort, negligence, strict liability, or otherwise, is limited to the amounts you paid to us for the specific service or product giving rise to the claim during the twelve (12) months preceding the event on which the claim is based.
Some jurisdictions do not allow certain exclusions or limitations, so portions of this section may not apply to you. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
Time to bring a claim
Any claim arising out of or relating to these Terms or an engagement must be brought within one (1) year after the cause of action accrues, except where a longer period is required by law.
Indemnification
You will defend, indemnify, and hold harmless Bridges Industrial and its members, employees, and subcontractors from third-party claims, damages, losses, and expenses arising out of your operations, your facility or site conditions, your equipment, your use of deliverables outside the scope or application described in the Engagement Document, your failure to independently verify safety-related work, your modification of anything we provide, or your breach of these Terms.
Privacy
Information we collect
Contact details, account and billing information, and technical data such as IP address and usage logs.
How we use information
To provide and improve services, communicate with you, and comply with legal obligations.
Sharing
We do not sell your data. We may share with trusted service providers under confidentiality agreements.
Retention
We retain data only as long as necessary for service delivery, legal compliance, or legitimate business purposes.
Your rights
You may request access, correction, or deletion of your personal data, subject to applicable law.
Cookies and tracking
We use cookies and similar technologies to manage sessions, analyze site usage, and improve user experience. You may disable cookies in your browser, but some features may not function properly.
Communications
We may contact you via email, SMS, or phone for service updates, billing, and support. Marketing communications require your opt‑in consent and include an unsubscribe option. You are responsible for keeping your contact information current.
Data Security
We implement administrative, technical, and physical safeguards to protect your data. While no system is 100% secure, we take reasonable measures to prevent unauthorized access, disclosure, or loss. You are responsible for maintaining the confidentiality of your account credentials. We will notify you of any data breach as required by law.
General
Acceptable use
You may not misuse our systems, attempt unauthorized access, or interfere with the integrity or availability of our services.
Term and termination
Either party may terminate an engagement with written notice if the other materially breaches these Terms and fails to cure within thirty (30) days. We may suspend or terminate immediately for unlawful use, non-payment, or security risk. On termination you remain responsible for amounts accrued, and provisions that by their nature should survive, including intellectual property, confidentiality, disclaimers, limitations of liability, and indemnification, survive termination.
Force majeure
Neither party is liable for delay or failure to perform due to causes beyond its reasonable control, including natural events, utility or network failure, supplier or carrier failure, labor disruption, and governmental action.
Changes to these Terms
We may update these Terms to reflect changes in our services, operations, or legal requirements. The current version is the one published on this page. Material changes take effect on posting and apply to engagements entered into afterward. Continued use of our services or resources constitutes acceptance.
Governing law
These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. The exclusive venue for disputes is the state or federal courts located in Texas, and each party consents to that jurisdiction.
Severability and entire agreement
If any provision is held unenforceable, it is limited or severed to the minimum extent necessary and the remainder stays in force. These Terms, together with any applicable Engagement Document and product-specific agreement, are the entire agreement on their subject matter and supersede prior discussions. A failure to enforce a provision is not a waiver of it.
